Terms of Service — FleetGenius Lite

These terms govern use of FleetGenius Lite (the "Service"), provided by Bluepoppy Vehicle Solutions Ltd ("FleetGenius", "we", "us"). By using the Service you ("Client") agree to them. If you're agreeing on behalf of an organisation, you confirm you're authorised to bind it.

1. The Service

FleetGenius Light is a web app for fleet & workforce administration: a vehicle register, MOT/service/contract reminders, driver walkaround checks, driver licence-check workflow, documents, carbon reporting, and an assistant. Features and integrations (e.g. DVSA, DVLA, email) may depend on third-party services and configuration.

2. Accounts & access

• Access is by invitation and passwordless sign-in (magic link). You're responsible for keeping access to your email account secure and for activity under your accounts.
• You'll ensure the people you invite (managers, drivers) are authorised and that you have a lawful basis to enter their data (see the DPA and your own privacy notice).

3. Your data & data protection

• You retain ownership of the data you put into the Service. You grant us the rights needed to host and process it to provide the Service.
• Where the Service processes personal data on your behalf, our Data Processing Agreement (DPA) applies and forms part of these terms. You are the controller; we are the processor.

4. Acceptable use

You will not: break the law; infringe others' rights; upload malware; attempt to access other clients' data; probe, scan or overload the Service; or misuse third-party integrations (e.g. run licence checks without the driver's consent).

5. Third-party services & data accuracy

• MOT (DVSA) and licence (DVLA) data come from those authorities; estimated dates are clearly marked and firm up when live data is available. We don't guarantee third-party data is complete or error-free, and you shouldn't rely on it as your sole compliance record.
• The assistant may use AI models (including ones you connect with your own key). AI output can be wrong — verify anything you act on.

6. Availability

We aim for high availability but the Service is provided "as is" and "as available". We may perform maintenance and may change or discontinue features.

7. Fees

FleetGenius Lite's core is offered free. Optional paid add-ons (e.g. SMS/WhatsApp messaging and OEM telematics) are billed at the price set out in your order, monthly and cancellable at any time. Where no paid add-on is enabled, no fee applies.

8. Intellectual property

We (and our licensors) own the Service, software and branding. You get a non-exclusive, non-transferable right to use it during your subscription. "FleetGenius", "Bluepoppy" and related marks are ours.

9. Confidentiality

Each party will protect the other's confidential information and use it only to perform these terms.

10. Liability

Nothing limits liability that can't be limited by law (e.g. death/personal injury by negligence, fraud). Subject to that, we're not liable for indirect or consequential loss, loss of profit, data or goodwill; and our total liability is capped at the total fees you paid us in the 12 months before the claim (or £100 where no fees have been paid). You're responsible for your own regulatory compliance (e.g. O-licence duties, driver licensing).

11. Term & termination

Either party may terminate on 30 days' written notice (or as set out in your order). On termination we'll make your data available for export for 30 days, then delete it per the DPA and our retention schedule.

12. Changes to terms

We may update these terms; material changes will be notified. Continued use after changes means acceptance.

13. Governing law

These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
